Terms and conditions
Contents
These terms and conditions apply to all quotations, orders, deliveries and agreements of IMFACO NV, Kachtemsestraat 111, 8870 Izegem, Belgium (VAT number BE0441.982.874), hereinafter “IMFACO”, with business customers. Last updated: 12 October 2026.
1. Application
By accepting a quotation or placing an order, the customer accepts these terms. The customer’s own general or purchasing conditions do not apply unless IMFACO has expressly accepted them in writing. Deviations only apply if agreed in writing.
2. Quotations and orders
IMFACO’s quotations are non-binding and valid for the period stated in them or, failing that, for thirty days. An agreement is concluded when IMFACO confirms the order in writing or starts to carry it out. Images, colours and dimensions on the website and in documentation are indicative.
3. Prices
All prices are in euros and exclude VAT and other levies unless stated otherwise. No prices are published on the website; prices follow from the quotation. If cost-determining factors (such as raw material, transport or exchange rates) change significantly between quotation and delivery, IMFACO may adjust the price after consultation.
4. Minimum order quantity and personalisation
A minimum order quantity (MOQ) applies to many items and is stated in the quotation or on the website. Items can be personalised (for example with your own logo or packaging), provided the minimum order quantity is met. Personalised items are made specifically for the customer and cannot be exchanged or taken back, except in case of a defect. The customer guarantees that it holds all rights to the logos, texts and designs it supplies and indemnifies IMFACO against third-party claims.
5. Delivery and risk
Delivery times are indicative and not binding unless expressly agreed as a strict deadline. A delay does not entitle the customer to damages or termination, unless the law or a written agreement provides otherwise. Risk passes to the customer on delivery or when the goods are made available. IMFACO may deliver in instalments.
6. Complaints and defects
The customer inspects the goods on receipt. Visible defects and quantity discrepancies must be reported in writing as soon as possible and no later than eight days after receipt; hidden defects no later than eight days after discovery. If a complaint is justified, IMFACO will, at its choice, repair or replace the goods or credit their price.
7. Payment
Invoices are payable on the due date and in the manner stated on the invoice. If payment is not made on time, default interest and compensation are due by operation of law and without notice of default, in accordance with the Belgian Act of 2 August 2002 on combating late payment in commercial transactions. IMFACO may suspend deliveries for as long as the customer fails to meet its payment obligations. Complaints about an invoice must be made in writing within eight days of the invoice date.
8. Retention of title
The goods remain the property of IMFACO until the price has been paid in full, including any interest and costs. Until then the customer may not pledge them or give them as security.
9. Product compliance and certificates
IMFACO supplies items with the certificates and documents relevant to the product concerned, such as Regulation (EC) No 1935/2004 for materials in contact with food. We provide the documents available for a given item on request.
10. Liability
IMFACO’s liability is limited to the invoiced value of the goods concerned and does not include indirect or consequential loss, such as lost profit or loss of customers. This limitation does not apply in the event of wilful misconduct, fraud or gross negligence on the part of IMFACO, or where the law excludes it.
11. Force majeure
IMFACO is not liable for a failure resulting from force majeure, such as war, fire, strikes, transport disruption or delays at suppliers and customs. In that case IMFACO may suspend performance or terminate the agreement (in whole or in part) without compensation.
12. Intellectual property
All texts, images, logos and brands on this website, including Haute Cuisine®, Wout Bru and SiSi Maison, remain the property of IMFACO or the relevant rights holders. Nothing may be copied or reused without prior written permission.
13. Personal data
How we handle personal data is set out in our privacy policy.
14. Governing law and jurisdiction
Belgian law exclusively applies to all agreements. The courts of the judicial district in which IMFACO has its registered office have exclusive jurisdiction, without prejudice to IMFACO’s right to summon the customer before the court of its domicile or registered office. If a provision of these terms is void, the other provisions remain in force.
